Moonwalk User Service Agreement

Moonwalk is operated by Moonwalk Labs ("Moonwalk," "we," "us," or "our"). This User Service Agreement ("Agreement") governs your use of Moonwalk's platform, including the Moonwalk application, website, and any related services we provide.

By creating an account or using Moonwalk in any way, you agree to this Agreement, the Moonwalk Review Guidelines, the Moonwalk Merchant Listing Statement, the Moonwalk Privacy Policy, and any other policies we publish from time to time (collectively, "Policies"). If you do not agree, do not use Moonwalk.

You must be at least 18 years old to use Moonwalk. By using Moonwalk, you represent and warrant that you are at least 18 years of age.

We may update this Agreement from time to time. If we make material changes, we will notify you through the app or by other reasonable means. Your continued use of Moonwalk after changes are posted constitutes acceptance of the updated Agreement.

1. Your Account

1. You must provide accurate, current, and complete information when registering. You are responsible for keeping your account information up to date. Do not submit false, misleading, or deceptive information.
2. You may not impersonate any person or entity, or falsely represent your affiliation with any person or entity. You may not use the name, likeness, or branding of another person, business, or organisation to create an account without their permission.
3. You may not register accounts in bulk, register accounts using automated means, or create accounts for the purpose of fraud, spam, or any other improper purpose.
4. Your Moonwalk account is owned by Moonwalk. You have a personal, non-transferable right to use it. You may not sell, lend, transfer, or otherwise grant access to your account to anyone else without our written consent. If you do, you are responsible for all consequences, and we may freeze, reclaim, or terminate the account.
5. You are responsible for maintaining the security and confidentiality of your password and account credentials. You are fully responsible for all activity that occurs under your account. If you become aware of any unauthorised use of your account, notify us immediately at support@trymoonwalk.io.
6. If you violate any of the above, Moonwalk may restrict, suspend, or terminate your account at our discretion.

2. Your Content

"Your Content" means all text, photos, videos, reviews, replies, business information, and any other material you post, upload, or submit through Moonwalk.

1. You retain ownership of Your Content. Nothing in this Agreement transfers ownership of your intellectual property to us.
2. You grant us a licence to use it. By posting Your Content on Moonwalk, you grant Moonwalk a worldwide, royalty-free, sublicensable, transferable, perpetual, and irrevocable licence to use, display, reproduce, modify, adapt, distribute, translate, and create derivative works from Your Content in connection with operating, developing, promoting, and improving Moonwalk and its services. This licence continues even if you delete Your Content or your account, to the extent Your Content has already been shared, distributed, or otherwise used on the platform.
3. You are responsible for Your Content. You represent and warrant that Your Content is lawful, truthful, does not infringe the intellectual property or other rights of any third party, and complies with this Agreement, the Moonwalk Review Guidelines, and all applicable laws.
4. We can remove Your Content. Moonwalk may, at any time and at our sole discretion, remove, edit, restrict, or refuse to display any content — with or without notice and for any reason, including content we believe violates this Agreement, our Policies, or applicable law.
5. Back up your own content. Moonwalk is not responsible for the preservation, loss, or deletion of Your Content. You are responsible for maintaining your own copies of anything you post.

3. Using Moonwalk

1. You may post reviews of businesses you have personally experienced, including text, photos, and videos. All reviews are subject to the Moonwalk Review Guidelines.
2. You may add new business listings to Moonwalk and contribute information such as business name, address, hours, and photos. You acknowledge and agree that others — including the business owner — may subsequently claim, modify, or manage listings you have added.
3. Moonwalk may offer engagement features such as points, badges, levels, or other rewards for participation on the platform. These have no cash value and may be modified or discontinued at any time.
4. You may not use Moonwalk for any unauthorised commercial activity. You may not use Moonwalk's name, branding, or platform to conduct commercial activities without our written permission.
5. You may not use Moonwalk as a venue, tool, or medium for any activity that violates applicable law.

4. Prohibited Conduct

You agree not to engage in any of the following conduct on Moonwalk, whether directly or through any third party:

1. Illegal content and activity. Posting content or engaging in conduct that violates any applicable law or regulation.
2. Harassment, threats, and hate speech. Threatening, bullying, harassing, stalking, or intimidating any person. Posting content that promotes hatred or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
3. Child safety. Posting, sharing, or soliciting any content that sexually exploits or endangers minors.
4. Sexually explicit content. Posting pornographic or sexually explicit material.
5. Violence. Posting content that glorifies, incites, or promotes violence or terrorism.
6. Intellectual property infringement. Posting content that infringes the copyright, trademark, or other intellectual property rights of any third party.
7. Spam, fraud, and deception. Engaging in spam, phishing, scams, or any deceptive practices. This includes fake reviews, astroturfing, and review manipulation of any kind.
8. Impersonation. Impersonating any person, business, or organisation, or misrepresenting your identity or affiliation.
9. Review extortion. Threatening merchants with negative reviews, or offering to post, modify, or remove reviews in exchange for money, goods, services, or other benefits.
10. Platform abuse. Scraping, crawling, reverse engineering, decompiling, or otherwise attempting to extract data, source code, or underlying systems from Moonwalk. Circumventing or attempting to circumvent any security measures, rate limits, or access controls.
11. Disruption. Interfering with the normal operation of Moonwalk, including introducing malware, overloading infrastructure, or disrupting other users' experience.
12. Reputational harm. Maliciously damaging the reputation of Moonwalk or its users through fabricated facts, defamation, or other dishonest means.

If you engage in any prohibited conduct, Moonwalk may take enforcement action including but not limited to: removing content, restricting account features, suspending or permanently terminating your account, and cooperating with law enforcement or regulatory authorities.

5. Business Listings

1. Moonwalk is not the provider. Moonwalk is a platform for discovery and reviews. We are not the seller, provider, or operator of any business listed on Moonwalk. We do not endorse, guarantee, or warrant any business, its products, its services, or the accuracy of any information displayed about it.
2. Disputes are between you and the business. Any disputes, complaints, or claims arising from products or services provided by a business listed on Moonwalk are between you and that business. Moonwalk may, at our discretion, assist in facilitating communication between the parties, but we have no obligation to do so.
3. Listings are user-contributed. Business information on Moonwalk is contributed by users and merchants. We do not independently verify listing information and make no representation as to its accuracy, completeness, or currency.
4. Rankings and ratings are algorithmic. All rankings, ratings, search results, and recommendations on Moonwalk are generated automatically based on user activity and review data. They are provided for your reference only, involve no human curation of individual results, and do not constitute an endorsement. Moonwalk does not sell ranking placement or ratings.

6. Intellectual Property

1. Moonwalk's IP. The Moonwalk platform — including its software, design, branding, trademarks, logos, and all data generated through its operation — is the intellectual property of Moonwalk Labs. You may not copy, modify, distribute, sell, or create derivative works from any part of the Moonwalk platform without our written permission.
2. Your IP. You retain ownership of Your Content as described in Section 2.
3. Copyright and IP complaints. If you believe content on Moonwalk infringes your copyright or other intellectual property rights, you may submit a complaint to support@trymoonwalk.io that includes:
   • Identification of the copyrighted work or intellectual property you claim is infringed
   • Identification of the content on Moonwalk you claim is infringing, with enough detail for us to locate it
   • Your contact information (name, address, email, phone number)
   • A statement that you have a good-faith belief the use is not authorised by the rights holder, its agent, or the law
   • A statement, under penalty of perjury, that the information in your complaint is accurate and that you are the rights holder or authorised to act on their behalf
   • Your physical or electronic signature
   
   Moonwalk will review complaints and may remove or restrict access to content that we determine infringes intellectual property rights, in accordance with applicable law including the Copyright Act 1968 (Cth).

7. AI-Translated Content

Some content on Moonwalk may be translated using artificial intelligence or machine translation tools. These translations are provided for convenience only. Moonwalk does not guarantee the accuracy, completeness, or reliability of any translated content. In the event of any discrepancy between the original-language content and a translation, the original-language version prevails.

8. Service Changes and Termination

1. Changes to the service. Moonwalk may modify, suspend, or discontinue any part of the platform at any time, with or without notice. We will make reasonable efforts to notify you of material changes.
2. Inactive accounts. If your account has had no login activity for twelve (12) consecutive months and has no pending activity, Moonwalk reserves the right to terminate your account and associated data. We will attempt to notify you before doing so.
3. You can leave at any time. You may stop using Moonwalk at any time. If you wish to delete your account, you can do so through the app or by contacting us at support@trymoonwalk.io.
4. Data after termination. After account termination, Moonwalk may retain, delete, or anonymise your data in accordance with our Privacy Policy. Content you posted (such as reviews) may remain visible on the platform even after your account is terminated, as described in Section 2.
5. Surviving obligations. Termination of your account does not release you from obligations that arose before termination. Moonwalk may still pursue claims or enforce rights related to your prior use of the platform.

9. Disclaimers

To the maximum extent permitted by applicable law:

1. Moonwalk is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
2. Moonwalk does not warrant that the platform will be uninterrupted, error-free, secure, or free of harmful components.
3. Moonwalk does not warrant the accuracy, reliability, or completeness of any content on the platform, including business listings, reviews, ratings, user-contributed information, and map or location data. Map and location data is provided by third-party services and may contain errors.
4. Moonwalk is not responsible for the conduct of any user, business, or third party on or off the platform.
5. Moonwalk may contain links to third-party websites or services. We do not endorse or assume responsibility for the content, privacy practices, or availability of any third-party site.
6. Moonwalk is not responsible for any prizes, promotions, discounts, or offers obtained through channels not officially authorised by Moonwalk.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

1. Moonwalk's total aggregate liability to you for all claims arising out of or relating to this Agreement or your use of Moonwalk shall not exceed the greater of (a) AUD $100 or (b) the total fees you have paid to Moonwalk in the twelve (12) months immediately preceding the event giving rise to the claim.
2. Moonwalk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, whether arising from contract, tort (including negligence), strict liability, or otherwise, even if Moonwalk has been advised of the possibility of such damages.
3. Australian Consumer Law. Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

11. Indemnification

You agree to indemnify, defend, and hold harmless Moonwalk Labs and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

1. Your use of Moonwalk
2. Your Content
3. Your violation of this Agreement or any Moonwalk Policy
4. Your violation of any applicable law or the rights of any third party

12. Dispute Resolution

1. Governing law. This Agreement is governed by the laws of New South Wales, Australia, without regard to its conflict-of-law provisions.
2. Jurisdiction. You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia, for the resolution of any disputes arising out of or relating to this Agreement or your use of Moonwalk.
3. Good-faith resolution. Before initiating formal proceedings, both parties agree to make a reasonable, good-faith effort to resolve any dispute informally by contacting support@trymoonwalk.io.
4. Australian Consumer Law. Nothing in this Agreement is intended to exclude or limit any rights or remedies available to you under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded or limited by agreement.
